We, the above mentioned Organization, agree to support the International Taekwon-do Federation (ITF) in its promotion of its new uniform. As a member of the ITF we agree to the following terms and conditions in regard to the purchase, distribution, sale and usage of the new ITF uniform in our organization:
1. We agree to purchase the new ITF uniform only from the ITF appointed manufacturer, Supreme Sa Sung International Supplies Company Limited (which shall hereinafter be addressed in short as ?SS Co. Ltd.?, bearing the SSS Co. Ltd? trademark, for use by our members. A photocopy of the new ITF uniform? design and the SSS Co. Ltd? trademark are enclosed in this agreement and signed by this our representative(s).
2. We agree not to purchase, distribute, sell or use any copied or imitation versions of the new ITF uniform not manufactured and sold by SSS Co. Ltd., within our Organization and to others.
3. We agree to advice all our members not to purchase, distribute, sell or use any copied or imitation versions of the new ITF uniform not manufactured and sold by SSS Co. Ltd.
4. We agree to disallow any of our members and others to train in our dojangs, participate in our tournaments, seminars, courses and other activities, who wear copied or imitation versions of the new ITF uniform not manufactured and sold by SSS Co. Ltd.
5. We agree to take actions, including legal actions, on behalf of ITF and SSS Co. Ltd., against any individual(s), Taekwon-do or business organization(s), who manufactures, distributes or sells or uses any copied or imitation versions of the new ITF uniform.
6. We agree to register on behalf of the ITF, the trademark of the SSS Co. Ltd., and/or the new ITF uniform trademarks in our country and at our cost, as a condition for us to use and the control of the new ITF uniform in our Organization. We understand that these trademarks are the intellectual property of the ITF. If our Organization is to dissociate, resign or being expelled from membership of the ITF, which registered address is at Draugasse 3, 1210 Vienna, Austria, we must immediately surrender this said trademark(s) control and it? registration in our country back to the ITF or its new representative(s) in our country. If we would not surrender this trademark(s) control back to the ITF, by the power of this agreement the ITF or its new representative(s) in our country could go to the Trademark Registration Authority of our country and claims for the trademark? control. In this case, ITF? costs and other fees involved in this process would be paid by our Organization and/or its representative(s).
7. We agree that if our Organization is to dissociate, resign or be expelled from the ITF, we and all our members will cease to use the new ITF uniform, will refrain from using the name ITF in our Organization and will refrain from advertising ourselves as ITF representative(s).
8. We agree that our Organization and/or its representative(s) has to pay the ITF as a penalty fee of minimum USD 200,000 if our Organization is to be found to have violated this agreement, especially if we are caught to have manufactured or distributed or sold or allowed our members to use any copied or imitation versions of the new ITF uniform. Our Organization and/or its representatives must bear all costs including full legal costs of the ITF in this case.
9. We agree that any other terms and conditions outside of this agreement must have the written consent of the ITF Headquarters and the SSS Co. Ltd.
10. We agree that the duration of this agreement lasts as long as our Organization is an official and registered member of the ITF. This agreement ends as soon as our Organization dissociates, resigns or is expelled from the ITF. The ITF can also give our Organization three months notice for the termination of this agreement.
